Vendor Terms and Conditions

Effective Date: January 20, 2020

These Vendor Terms and Conditions (“Terms”) govern the relationship between Dgtally (“Dgtally”, “we”, “our”, “us”) and vendors (“you”, “your”, “Vendor”) who sell digital goods through the Dgtally.com marketplace.

By registering as a Vendor, uploading digital products, or offering goods for sale on Dgtally.com, you agree to comply with these Terms.

1. Vendor Registration and Approval

Vendors must create an account and provide accurate and complete business information.
All vendor accounts are subject to approval by Dgtally. We reserve the right to accept or reject any application at our sole discretion.
Vendors must be at least 18 years old to participate.

2. Vendor Responsibilities

Upload only digital products that you own or are authorized to sell.
Ensure all product descriptions, pricing, and file formats are accurate and complete.
Deliver products that are free from viruses, malware, or harmful content.
Provide reasonable customer support related to your products.
Comply with all applicable local, national, and international laws, including intellectual property laws.

3. Product Ownership and Rights

Vendors retain ownership of the digital goods they upload but grant Dgtally a non-exclusive, worldwide, royalty-free license to market, display, and sell their products on the platform.
Vendors must ensure they have full rights to sell and distribute the digital goods they upload.
Vendors may not upload products that infringe on copyrights, trademarks, or other intellectual property rights.

4. Commission and Payments

Dgtally will retain a commission 2% + Paypal Fees (2.29% + $0.30 fixed fee) on each sale.
Vendor earnings (after commission) will be disbursed to the Vendor’s designated payout account based on the payment schedule (e.g., bi-weekly, monthly).
Payouts are subject to a minimum threshold (e.g., PHP 500).
Dgtally reserves the right to withhold payments for fraudulent transactions, chargebacks, or suspected policy violations.

5. Refund Policy

Dgtally offers refunds to customers only if the file has not been downloaded and within 3 days of purchase.
Vendors must honor this refund policy and cooperate in resolving refund requests.

6. Prohibited Products and Activities

Vendors may not upload illegal, obscene, harmful, or offensive content.
Vendors may not misrepresent product ownership or features.
Vendors may not manipulate product ratings or reviews.
Vendors may not upload duplicate, plagiarized, or misleading products.

Dgtally reserves the right to remove any products or suspend vendor accounts that violate these conditions.

7. Taxes

Vendors are responsible for reporting and remitting their own taxes, including but not limited to VAT, income tax, or any other applicable taxes. Dgtally is not responsible for the Vendor’s tax obligations.

8. Termination

Dgtally may terminate or suspend a Vendor account at any time, with or without cause, especially for policy violations or fraudulent activities.
Vendors may request account termination at any time by contacting support@dgtally.com.

Upon termination:

Vendor products will be removed from the platform.
Pending payouts will be settled subject to account review.

9. Limitation of Liability

Dgtally is not liable for any direct, indirect, or consequential damages arising from Vendor’s use of the platform. Dgtally’s total liability is limited to the total commissions earned by Dgtally from the Vendor’s sales.

10. Changes to Terms

Dgtally may update these Terms at any time. Vendors will be notified of significant changes. Continued use of the platform after changes become effective constitutes acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by the laws of the Philippines. Any disputes shall be resolved under Philippine jurisdiction.
